Hungary Company Formation, Tax & Residency — The 2026 Guide

A practical guide for foreign entrepreneurs, international investors and business owners considering company establishment, taxation, residence permits and property investment in Hungary. Including cross-border considerations for businesses operating between Hungary and Türkiye.

9% Standard corporate income tax
27% Standard VAT rate
HUF 3m Minimum registered capital for a Kft.
€250k Minimum qualifying fund investment under one guest investor option
Executive Summary

Hungary can offer an efficient corporate framework for genuine European business operations. However, establishing a company, purchasing real estate and obtaining a residence permit are three legally distinct processes. None automatically guarantees the others.

01 Corporate Establishment

Can Foreigners Open a Company in Hungary?

Yes. Foreign individuals and corporate shareholders can generally establish and own a Hungarian company, subject to applicable registration and regulatory requirements. The most commonly considered structure is the Hungarian limited liability company, or Kft.

Corporate Structure

Hungarian Kft.

The Korlátolt Felelősségű Társaság is a limited liability company with separate legal personality.

It can have one or more shareholders, including foreign individuals and companies.

The minimum registered capital is HUF 3,000,000. The contribution timing and applicable shareholder obligations should be assessed separately.

International Businesses

Subsidiary, Branch or Direct Operations?

Establishing a Kft. is not necessarily the only option for an international group.

Depending on the nature of the business, a subsidiary, a branch or a cross-border contractual arrangement may be appropriate.

The choice affects legal liability, corporate governance, tax residence, reporting and permanent establishment risk.

How to Establish a Company in Hungary

  1. Define the Business Activity Identify the proposed operations, customers, commercial contracts and operational requirements.
  2. Determine Ownership and Management Identify shareholders, directors, ultimate beneficial owners and management responsibilities.
  3. Arrange a Registered Office Establish an appropriate Hungarian registered address and arrangements for official correspondence.
  4. Prepare Incorporation Documents Coordinate the legal documentation and company registration process with qualified Hungarian professionals.
  5. Complete Tax Registration Assess tax numbers, VAT registration, banking, invoicing and accounting arrangements.
  6. Establish Ongoing Compliance Maintain bookkeeping, financial reporting, tax declarations and statutory company records.

CPA Perspective: A registered office and a company registration certificate do not, by themselves, establish that a business has genuine economic substance in Hungary. Management, employees, contracts and commercial operations must be considered in the overall tax analysis.

02 Corporate Taxation

Corporate Taxes in Hungary: What Does the 9% Rate Mean?

Hungary applies a standard 9% corporate income tax rate. Nevertheless, businesses should consider the complete tax framework rather than relying exclusively on the headline corporate tax rate.

9%
Corporate Income Tax

Standard rate applied to the relevant corporate taxable income base, subject to statutory adjustments, applicable special rules and reliefs.

Up to 2%
Local Business Tax

A municipal tax calculated on a distinct statutory tax base. It is not necessarily equivalent to an additional 2% tax on accounting profit.

27%
Value Added Tax

Standard Hungarian VAT rate. Reduced rates, exemptions and cross-border place-of-supply rules may affect individual transactions.

What Other Tax Obligations Should Be Considered?

Ongoing Tax Compliance

Beyond Corporate Income Tax

  • Corporate income tax returns
  • Annual accounting and financial statements
  • VAT returns and reporting
  • Local business tax
  • Payroll and social security obligations
  • Tax treatment of management fees and dividends
  • Transfer pricing requirements
  • Applicable sector-specific taxes
International Tax Planning

Why the Effective Tax Burden May Differ

A Hungarian company’s statutory tax rate does not necessarily determine the overall taxation of an international investment.

Shareholder residence, intercompany transactions, withholding taxes, foreign tax credits and other domestic obligations can alter the final outcome.

Large multinational groups may also fall within international minimum tax rules, depending on consolidated group revenue and other conditions.

Important: The 9% corporate income tax rate and a local business tax rate of up to 2% cannot simply be added together to conclude that profits are always subject to 11% tax. The relevant tax bases are different.

Hungarian Dividends and Foreign Shareholders

The tax treatment of profit distributions depends on whether the recipient is an individual or a company, the recipient’s jurisdiction of tax residence and the relevant domestic and treaty provisions.

Hungarian domestic legislation generally does not impose withholding tax on outbound dividends paid to foreign corporate recipients. However, this treatment should not be automatically extended to individual shareholders.

The appropriate analysis should examine the combined tax burden at the company and shareholder levels.

03 Residence for Entrepreneurs

Does Opening a Company in Hungary Provide a Residence Permit?

No. Establishing or owning a Hungarian company does not automatically grant a foreign national permission to reside or work in Hungary. Immigration eligibility must be assessed independently.

Qualifying third-country nationals may consider the residence permit for guest self-employment, depending on their intended business activity and individual circumstances.

Business-Based Residence

Guest Self-Employment

This category may be relevant to persons carrying out qualifying independent remunerated activities or acting as chief executives of business organisations.

For a chief executive, the authorities assess specific statutory conditions, including the company’s actual operations and the necessity of the applicant’s presence.

Supporting Evidence

What Must Be Demonstrated?

Depending on the applicant’s position, the rules may require evidence of a qualifying employment history involving at least five eligible full-time workers for six consecutive months, or proof that the applicant’s presence is essential and the business is expected to generate sufficient income.

Contracts, business activity declarations, financial documentation and other supporting materials can be relevant.

Validity and Family Considerations

The guest self-employment residence permit may initially be issued for up to one year, with extensions subject to applicable requirements and an overall maximum duration of three years from its first issuance.

Restrictions can affect changes of immigration status, family reunification and access to long-term residence. These matters should be reviewed before an entrepreneur relocates with family members.

Planning Risk: Forming a company solely to obtain residence status, without a genuine commercially supportable activity, may not satisfy the relevant immigration requirements.

04 Residence by Investment

Hungary Guest Investor Programme: Requirements in 2026

Hungary provides a guest investor residence framework for qualifying third-country nationals. The programme distinguishes eligible investment instruments from ordinary real estate acquisitions.

Qualifying Investment / Option 01

€250,000 Real Estate Investment Fund

Acquisition of at least EUR 250,000 in investment fund shares issued by a qualifying real estate fund registered with the Hungarian National Bank.

  • Investment must satisfy the relevant fund requirements.
  • Investment maintenance conditions apply.
  • Specific securities-account documentation is required.
  • Immigration approval is assessed separately.
Qualifying Investment / Option 02

€1 Million Qualifying Donation

A financial donation of at least EUR 1,000,000 to an eligible higher education institution maintained by a public trust with a public-service mission.

The donation must be directed towards specified educational, scientific research or artistic purposes.

How Long Can the Guest Investor Residence Permit Last?

A qualifying guest investor residence permit can be issued for up to 10 years. It may be extended for up to another 10 years for the same purpose, subject to applicable requirements.

This should not be interpreted as automatic permanent residence or Hungarian citizenship.

Critical Distinction: A EUR 250,000 investment in qualifying real estate fund units is not the same as directly buying a residential apartment worth EUR 250,000. An ordinary property purchase does not automatically create eligibility under the guest investor programme.

Does an Investment Automatically Grant Residency?

No. Meeting a qualifying investment threshold is only one component of the applicable legal framework. Immigration, documentation, procedural and eligibility requirements must also be satisfied.

Activity Residence Consequence
Registering a Hungarian Kft. No automatic right of residence.
Purchasing a €200,000 apartment No automatic right of residence.
Purchasing a €250,000 apartment Not equivalent to the qualifying guest investor fund investment.
€250,000 qualifying fund investment Potential eligibility, subject to all legal requirements.
€1 million qualifying donation Potential eligibility, subject to all legal requirements.
05 Real Estate Investment

Buying Property in Hungary as a Foreign Investor

Foreign investors may acquire Hungarian real estate, subject to applicable restrictions, authorisations and transaction procedures. The legal position depends on the investor’s nationality and the classification of the property.

A property investment budget of EUR 150,000–250,000 may be considered as part of an individual investment strategy. However, that range does not constitute a statutory residence-permit threshold.

Acquisition Due Diligence

Legal and Financial Review

  • Ownership and land registry verification
  • Mortgages, liens and other restrictions
  • Foreign purchaser authorisations
  • Property classification and permitted use
  • Purchase agreement and transaction documents
  • Transfer duties and applicable VAT
  • Rental income and ongoing taxation
  • Financing, maintenance and exit costs
Ownership Structuring

Personal or Corporate Ownership?

Depending on the commercial objective, real estate may be acquired through an individual or an appropriate corporate structure.

Corporate ownership is not automatically more tax-efficient.

The choice should consider financing, transaction costs, rental operations, compliance expenses, taxation of distributions and capital gains on eventual disposal.

Investment Principle: The real estate investment decision and the residence permit strategy should be analysed independently, even when the investor intends to pursue both objectives.

06 Strategic Alternatives

Two Investment Strategies, Two Different Objectives

The appropriate Hungarian structure depends on whether the primary goal is to establish a genuine operating business or to pursue an investment and residence-planning strategy.

Strategy A / Business Expansion

Establish or Relocate Business Operations

Intended for entrepreneurs and international groups planning genuine commercial activity in Hungary.

  • Company formation and ownership structuring
  • Business contracts and operational planning
  • Management and personnel arrangements
  • Hungarian accounting and taxation
  • Separate founder immigration assessment
Strategy B / Investment Planning

Align Investment and Residence Objectives

Intended for individuals assessing qualifying immigration pathways alongside broader investment goals.

  • Individual immigration eligibility review
  • Qualifying fund investment analysis
  • Real estate due diligence, if relevant
  • Financial and documentary requirements
  • Tax consequences of personal relocation

In both cases, legal implementation, corporate administration and taxation should reflect the actual economic purpose of the investment.

07 Accounting and Administration

Accounting and Corporate Compliance in Hungary

Incorporation is only the first stage of operating a Hungarian company. Foreign-owned entities must maintain an appropriate accounting, reporting and corporate compliance framework.

  • Statutory bookkeeping and accounting
  • Corporate income tax reporting
  • VAT registration and declarations
  • Local business tax compliance
  • Annual financial statements
  • Payroll and social security reporting
  • Registered-office administration
  • Official correspondence and delivery-agent arrangements, where required
  • Corporate records and shareholder changes
  • Transfer pricing and related-party documentation

The coordination of legal professionals, accountants, registered-office providers and business management is important, particularly where the shareholders and directors are located outside Hungary.

Governance Perspective: The quality of corporate administration should be evaluated based on whether the underlying accounting and legal records accurately reflect the company’s actual business activity.

08 International Tax Advisory

Hungary–Türkiye Cross-Border Tax Planning

Establishing a Hungarian company while maintaining operations, shareholders or management in Türkiye requires a coordinated international tax review.

A Hungarian subsidiary does not automatically eliminate Turkish tax obligations or taxation in other jurisdictions where the business operates.

01 / Tax Residence

Corporate Residence

Where are central management and strategic decisions exercised? Could more than one jurisdiction claim taxing rights?

02 / Business Presence

Permanent Establishment

Could employees, executives, dependent agents or activities create a taxable business presence outside the country of incorporation?

03 / Related Parties

Transfer Pricing

Are management fees, financing, intercompany services and licensing arrangements priced consistently with the arm’s-length principle?

04 / Indirect Taxes

Cross-Border VAT

What are the relevant place-of-supply rules and reverse-charge obligations for transactions between Hungarian and Turkish entities?

05 / Profit Distribution

Dividends and Repatriation

How will distributions be treated in Hungary and at the level of Turkish or other foreign shareholders?

06 / Individuals

Personal Tax Residence

Does relocation change the shareholder’s or director’s personal tax residence, filing obligations and treaty position?

Example: A Turkish Company Establishing a Hungarian Subsidiary

Consider a Turkish company intending to establish a Hungarian subsidiary for sales, distribution or consulting operations within the EU.

Before incorporation, the group should evaluate whether the Hungarian company will have genuine commercial functions, how it will be financed, which entity contracts with customers, where management decisions occur and how intercompany transactions will be documented.

In addition to Hungarian compliance, Turkish corporate taxation, transfer pricing, foreign participation rules, dividend taxation and the Türkiye–Hungary double taxation agreement may require review.

Recommended Approach: Determine the commercial operating model first, analyse international tax exposure second, and complete local legal and corporate implementation only after the principal issues have been identified.

09 Frequently Asked Questions

Hungary Company Formation and Residency: FAQ

Direct answers to common questions raised by foreign investors, entrepreneurs and international business owners.

Can a foreigner open a company in Hungary?

Yes. Foreign individuals and companies can generally establish and own Hungarian companies, subject to applicable legal and registration rules. Company ownership alone does not provide immigration authorisation.

What is the minimum capital required for a Hungarian Kft.?

The minimum registered capital is HUF 3 million. This amount represents the company’s capital rather than a government formation fee. Applicable contribution and payment rules must be observed.

What is the corporate tax rate in Hungary in 2026?

Hungary’s standard corporate income tax rate is 9%. Separate local business tax, VAT and other obligations may also apply.

Is Hungary’s corporate tax really only 9%?

The 9% figure is the standard corporate income tax rate, not a guarantee of the total tax burden. Municipal taxes, payroll costs, shareholder taxes and international rules must also be considered.

Can I get a residence permit by opening a company in Hungary?

Not automatically. A qualifying entrepreneur may be eligible for a relevant immigration category, but must independently meet its legal, commercial and documentary requirements.

Can I obtain Hungarian residency by purchasing a property?

A direct residential property purchase does not automatically entitle an investor to a Hungarian residence permit. The relevant immigration basis must be assessed separately.

What is Hungary’s €250,000 guest investor option?

It involves an investment of at least EUR 250,000 in shares of a qualifying real estate investment fund, subject to the legal programme conditions. It is not the same as buying an apartment directly.

How long does the Hungarian guest investor permit last?

A qualifying guest investor residence permit may be issued for up to ten years, with a possible extension of up to another ten years under applicable conditions.

Does having a Hungarian residence permit make me tax resident?

Not necessarily. Immigration residence and tax residence are separate legal concepts. Individual tax residence depends on applicable domestic law, factual circumstances and relevant double taxation agreements.

Can a Turkish company establish a subsidiary in Hungary?

Generally yes. However, the proposed structure should be evaluated for tax residence, permanent establishment, transfer pricing, VAT, profit repatriation and compliance obligations in both countries.
