Turkish Tax Opinion vs Private Tax Ruling (Özelge): What Binds the Tax Office?

Foreign companies often mix up tax opinions, legal opinions and binding rulings. In Turkey the difference decides whether you are protected from penalties — and how fast you get an answer.

Art. 413Legal basis for özelge (Tax Procedure Law)
Art. 369No penalty or late interest if you followed it
3 yrsMaximum APA term (Corporate Tax Law Art. 13/6)
NoCPA opinions do not bind the tax office
The short answer An özelge is a private tax ruling issued by the Turkish Revenue Administration under Tax Procedure Law Art. 413. It guides the tax office’s treatment of the applicant’s specific facts, and if it turns out to be wrong the applicant who followed it owes no penalty or late-payment interest (Art. 369). A CPA tax opinion is a professional’s written analysis: faster and decision-ready, but not binding on the tax office.

Key takeaways

  • A CPA tax opinion is not a ruling. Any adviser who says otherwise is overselling.
  • An özelge does not bind the courts, and the tax principal remains due if the ruling was wrong — the protection is against penalties and interest.
  • Özelges have no statutory deadline; opinions are delivered on an agreed date.
  • For transfer pricing, the binding route is an advance pricing agreement, not an özelge.

What is an özelge?

Tax Procedure Law Art. 413 lets taxpayers ask the administration for a written explanation of how the tax law applies to their own situation. The procedure is set out in VUK General Communiqué No. 395. The ruling answers a concrete, existing question of the applicant — not a hypothetical — and is generally not given on a matter already under tax audit or in litigation.

Its protection comes from Art. 369: if the authority gave the taxpayer a wrong written explanation and the taxpayer followed it, no tax penalty is imposed and no late-payment interest is charged. The tax itself can still be assessed once the administration changes its view. Courts are not bound by özelges, and the administration may revise its position for the future.

Published özelges (anonymised on gib.gov.tr) show how the administration reasons, but they bind only for the applicant. Using someone else’s özelge as authority is a common and costly mistake.

What is a Turkish CPA tax opinion?

A written analysis by a licensed Turkish CPA that applies statute, communiqués, treaties, published rulings and court decisions to your facts and reaches a reasoned conclusion with stated assumptions and a confidence level. It is built for decisions, audit files and third-party reliance. See the Turkish tax opinion service.

APAs, circulars and YMM certification

Advance pricing agreement (APA)

For intercompany pricing, Corporate Tax Law Art. 13/6 allows an advance pricing agreement with the administration, for up to three years. It is the binding route for transfer pricing methods — an özelge is not.

General communiqués and circulars

These bind the tax offices and give general certainty, but they can be annulled by the courts, and Art. 369 protection does not apply to communiqués and circulars annulled by judicial decision.

YMM certification

A sworn CPA’s certification report confirms that records and transactions conform to the law for specific procedures, such as certain VAT refunds. It is a compliance certification, not a ruling on how an uncertain provision should be interpreted.

Evren Özmen’s note from practice: I recommend an özelge when three things are true: the amount is material, the treatment will repeat every year, and the facts are stable enough to describe precisely. When the client needs an answer before a board meeting or a signing, the özelge timeline simply does not fit — so we issue the opinion first and, if the position is worth locking in, file the özelge on the same facts.

How to apply for an özelge

  1. Define the concrete question on the applicant’s actual facts.
  2. Prepare the request in Turkish with the facts, the legal question, the applicant’s own view and supporting documents.
  3. File through the Revenue Administration’s online channel or with the competent tax office.
  4. Answer follow-up questions from the administration.
  5. Apply the ruling exactly as written — protection covers the facts described, not variations.

A foreign company without a Turkish tax number usually files through a Turkish entity, payer or authorised representative connected to the transaction. We prepare and file özelge requests as part of an opinion engagement where that adds value.

What drives the cost

Fees are fixed and confirmed privately. An opinion is priced on scope, treaty layer, documents, reliance and deadline; an özelge request adds Turkish drafting, filing and follow-up. Combined engagements are scoped together.

Case analyses

Case 1 · Foreign group relying on a published ruling · anonymised
Facts
A Turkish subsidiary stopped withholding on a group fee because a published özelge for another company appeared to say none was due.
The obvious answer
“There is an özelge, so we are protected.”
Why that failed
The özelge belonged to another taxpayer and turned on facts that differed in one decisive respect. Art. 369 protects only the taxpayer who received the written explanation.
Structure adopted
An opinion re-analysing the fee on the subsidiary’s own facts, voluntary disclosure for past periods, and an özelge request of its own.
Case 2 · Signing deadline · anonymised
Facts
A foreign licensor needed to know the Turkish withholding treatment before signing a five-year licence within three weeks.
The obvious answer
“Apply for an özelge first.”
Why that did not fit
No statutory deadline for the ruling and a fixed signing date.
Structure adopted
A CPA opinion before signing, a tax clause allocating the risk if the ruling differed, and an özelge request filed by the Turkish licensee after signing.

What happens if…

What happens if the özelge is wrong?

If you followed it, no tax penalty and no late-payment interest (Art. 369). The tax principal can still be assessed.

What happens if the administration changes its view?

The new view applies going forward; reliance on the earlier ruling for past periods is protected from penalties and interest.

What happens if the tax office disagrees with our CPA opinion?

The tax office can assess. The opinion then becomes the basis of the response, the settlement discussion and, if needed, litigation with Turkish tax counsel.

Frequently asked questions

Is a Turkish tax opinion binding on the tax authority?

No. Only rulings issued by the administration itself — an özelge under Tax Procedure Law Art. 413, or an APA for transfer pricing — bind the administration. A CPA opinion documents a reasoned position.

What is an özelge in Turkey?

A private tax ruling issued by the Turkish Revenue Administration on how the law applies to the applicant’s specific facts, under Tax Procedure Law Art. 413 and VUK General Communiqué No. 395.

Does an özelge protect me from penalties?

Yes. If you follow a written explanation from the authority and it turns out to be wrong, no tax penalty and no late-payment interest is imposed under Tax Procedure Law Art. 369, but the tax itself may still be due.

Are özelges binding on Turkish courts?

No. Courts are not bound by özelges, and the administration can change its view for the future.

How long does it take to get an özelge?

There is no statutory deadline; in practice it can take several months, depending on complexity.

Can I rely on an özelge issued to another company?

Not for protection. Art. 369 protects the taxpayer who received the written explanation. Other companies’ rulings are useful only as indications of the administration’s reasoning.
