Can a UAE Company Launch a Mobile App in Turkey Without Incorporating? 2026 Market Entry Guide

A practical market-entry guide for UAE, Dubai and other non-Turkish app operators launching consumer apps, venue-discovery platforms, event directories or B2B subscription portals in Istanbul and across Türkiye.

Short answer: A company established outside Türkiye may be able to test demand and provide certain cross-border digital services without immediately forming a Turkish company. But there is no blanket “foreign app exemption”. The answer changes when the company develops an ongoing local sales function, representatives contract with Turkish venues, customers pay for subscriptions, users’ personal data are processed, or the platform promotes legally restricted products. Tax registration, legal-entity registration, platform regulation and KVKK compliance are separate questions.

Can a UAE app be available on the Turkish App Store without a local company?

The availability of software to Turkish residents does not, on its own, establish that a Turkish subsidiary or branch is mandatory. The commercial substance matters more than the location of the app developer: Who signs contracts with venue operators? Who invoices them? Are sales negotiations carried out by a local person? What services are delivered in Türkiye? Does the business collect payments, arrange bookings, or merely display venue information?

Apple and Google’s distribution approval does not resolve Turkish corporate tax, VAT, consumer law, electronic-commerce, personal-data or restricted-advertising questions. A “free launch” may reduce initial revenue tax exposure, but it does not necessarily remove regulatory obligations connected to user data or marketing.

Three phases of entry: why the lowest-cost structure can change

Phase 1: Validation

Foreign-owned app, free venue listings, consumer discovery, no locally concluded contracts and no Turkish team under the company’s direction.

Review: platform classification, privacy notices, age/location data, advertising rules and whether any local activity constitutes a taxable presence.

Phase 2: Monetisation

Venues buy premium visibility, digital promotion or business subscriptions from the foreign company.

Review: B2B VAT, contract/service characterisation, Turkish withholding, potential DST, e-commerce rules and representative activities.

Phase 3: Local operations

Continuous Istanbul sales team, local management, commercial authority, onshore payment functions or local supplier contracts.

Review: permanent establishment, employment/SGK, corporate registration, licensing and whether a Turkish subsidiary makes operational sense.

Five legal and tax tests to complete before launching

Question Why a founder must ask it Likely specialist
1. Is there a Turkish permanent establishment? Long-term office use, dependent sales agents or people habitually concluding contracts may create taxable presence; the applicable Türkiye–UAE treaty and facts must be analysed. Turkish CPA / international tax adviser
2. What is actually being sold? Free directory, paid SaaS-style venue subscription, premium placement, online advertising and ticketing may have different VAT, withholding and DST consequences. Tax adviser
3. Is the platform an e-commerce intermediary? A passive discovery site is not necessarily the same as a service that enables orders, reservations or payment contracts. Consumer/e-commerce and ETBİS classifications are fact-sensitive. E-commerce lawyer
4. Where is user data processed? KVKK duties can arise without a Turkish company. Assess VERBİS registration exemptions, foreign-controller representation where required, privacy information and lawful transfer mechanisms. KVKK counsel
5. What is shown in the app? Venue names and objective event discovery should be distinguished from targeted alcohol promotions, tobacco advertisements or prohibited marketing content. Advertising / regulatory lawyer

Can independent Turkish representatives sign up venues for a foreign platform?

Potentially, but the contract label “independent commission agent” does not settle employment, SGK or tax exposure. Review the agent’s actual independence, control over working hours, exclusivity, authority to bind the UAE principal, use of a local office, who negotiates commercial terms, and how fees are invoiced. Exclusive full-time local sales personnel may present a materially different risk profile from independent agencies with other customers and no contract-signing authority.

What taxes can apply if the UAE company invoices Turkish venues?

Do not apply one flat tax treatment to every revenue line. A recurring venue portal subscription can differ from advertising services, event-ticketing commissions, payment processing or licensing of intellectual property. Depending on the structure, examine:

  • Turkish corporate tax and whether profits are attributable to a local workplace/dependent agent, subject to applicable domestic law and the relevant treaty.
  • Turkish VAT for B2B imported services versus special non-resident B2C electronically supplied services; the customer and supply determine the mechanism.
  • Digital Services Tax (DST) if the service falls within defined digital advertising/intermediary categories and the business passes the statutory revenue tests.
  • Withholding tax on payments such as certain online advertising or royalty/service income, subject to the characterisation of the payment and any treaty relief.
  • Foreign currency billing, contract documentation, payment collection and reporting evidence.

Does an event-discovery app need Turkish e-commerce registration?

Potentially different requirements apply to a venue directory, an intermediary that arranges paid tickets, a booking service, and a platform allowing Turkish venues to conclude electronic sales contracts. The Ministry of Trade’s ETBİS guidance outlines registration for relevant service providers and electronic-commerce intermediary providers. Applicability to a foreign-established platform and any exemptions must be checked against its actual functions and contracting chain; a generic App Store presence is not sufficient to classify the business.

When should a Turkish subsidiary become part of the plan?

Incorporating too early can create unnecessary recurring fixed costs; waiting too long can complicate contract enforcement, onshore invoicing, staff recruitment and tax compliance. Consider a Turkish company once customer acquisition requires an ongoing local team, Turkish customers require local invoices, the business needs local contracts or bank/payment infrastructure, or market traction justifies a long-term operating base. The correct timing should follow a documented feasibility assessment, not a fixed revenue amount invented for every startup.

For a general corporate structure comparison, see Subsidiary vs Branch vs Liaison Office in Türkiye and the 2027 Turkish Subsidiary Budget Guide. A liaison office is not generally a substitute for conducting commercial sales activities in Türkiye.

What documents are needed for an initial tax and regulatory feasibility review?

  1. Home-country certificate of incorporation and description of the business model.
  2. App walkthrough and sample screens showing listings, paid promotion, ticketing and payment flows.
  3. Sample consumer terms, venue agreements and draft invoices.
  4. Planned revenue streams by payer type (venue business, consumers, advertisers).
  5. Scope, authority and actual working arrangements of Turkish agents or agencies.
  6. Payment processor, settlement account and invoicing jurisdiction.
  7. User data map: location, profile, analytics, advertising identifiers and hosting country.
  8. Expected headcount, revenue, launch timetable and triggers for local establishment.

Frequently asked questions

Can we list Turkish venues free of charge?

Free listings can support market validation, but they do not automatically remove privacy, marketing and activity-specific restrictions. Review app functionality and the actual onshore business activity.

Is a local company mandatory as soon as one Turkish venue pays for a subscription?

Not automatically. The classification of the service, tax presence, contractual arrangements, Turkish customer VAT position and local sales operations are relevant.

Can every Turkish contract be issued by the UAE company?

The foreign company may contract cross-border in some models; the treatment depends on the contractual rights, performance of services, local representation, mandatory consumer/e-commerce rules and tax obligations. This must be determined case by case.

Does a free consumer app trigger digital services tax?

Not by mere availability or downloads. Taxable covered revenue and statutory thresholds matter; related paid advertising or intermediary services require separate classification.

Who can provide a binding legal opinion?

Corporate, labour, consumer and advertising-law questions require advice from appropriately qualified Turkish legal counsel; SystemsCPA can scope Turkish tax, accounting, reporting and market-entry tax exposure, coordinating legal work where required.
