1. Choose the operating model before incorporating
The Turkish entity contracts with the customer for freight services and buys third-party carrier capacity. Review revenue recognition, subcontractor costs, transport documents, liability and VAT.
The Turkish entity arranges services on behalf of customers or a group company. Analyse who is principal under contracts and which amounts represent commission rather than gross freight revenue.
The local business provides support to a UK principal without independently assuming freight obligations. Test transfer pricing, VAT, permanent establishment and actual service scope.
These are commercial examples, not definitive legal classifications. In particular, a liaison office is not a substitute for a revenue-generating logistics operation: operating restrictions need to be reviewed before using this model.
2. Incorporation, TİO and customs brokerage are not the same approval
| Question | What a UK investor should verify |
|---|---|
| Company or branch registration | Capital, parent documents, authorised representatives, registered address, Turkish company registration, tax and SGK registrations. Foreign investment is generally governed by equal-treatment principles. |
| TİO authorisation | If the activity is regulated as Taşıma İşleri Organizatörlüğü, confirm whether a TİO certificate is required before operations, using the Ministry of Transport’s current rules and application checklist. |
| Sector-specific capital | The Ministry’s 19 June 2025 TİO application document specifies TRY 1,000,000 minimum capital for an applicant. This is an authorisation requirement where applicable, not the general minimum share capital for every Turkish company. Confirm the 2027 rule and actual activity classification before budgeting. |
| Professional qualifications | Check the Ministry’s requirements for professional competence, commercial registry, address and electronic notification, including current TİO conditions. |
| Customs brokerage | Customs declarations and representation are distinct from ordinary CPA services and transport organisation. Assess whether work is performed by the declarant or an appropriately certified customs broker under the relevant rules. |
| Warehousing / carriage | If the company will operate warehouses, bonded facilities or transport vehicles, review further activity-specific licences, permits and insurance separately. |
Important: These requirements are activity-specific. No one should assume that a general-purpose Turkish Ltd. licence alone permits regulated customs-broker or transport-organiser services.
3. The VAT questions freight forwarders must answer before their first invoice
Logistics invoicing is not a single VAT category. Depending on the operation, international carriage, transit, domestic transportation, separate agency/coordination services and customs or warehouse fees may require different treatment. In particular, an international transport VAT exemption must be supported by the actual route, capacity in which the entity contracts and the documentation, and should not be applied indiscriminately to every invoice containing the word “freight”.
- Route test: where does the transport start and end, and does it genuinely fall within the applicable statutory international or transit transport conditions?
- Service test: is the company contracting for the transportation itself or charging a separate brokerage, management or administrative fee?
- Principal/agent test: which group entity is the customer-facing contracting party and bears commercial obligations?
- Subcontractor test: are domestic carriers, foreign carriers and overseas agents documented separately with the relevant routes and services?
- Evidence: reconcile customer contract, shipment order, bill of lading/CMR/airway bill, subcontractor charges and payment trail before VAT coding.
The Turkish Revenue Administration’s published rulings distinguish qualifying international carriage from domestic carriage and contain route-specific analyses. These are factual and statutory assessments, not permission to treat all freight forwarding income as VAT-exempt.
4. Accounts that a UK group CFO should require monthly
| Report | Why it matters in a freight business |
|---|---|
| Shipment-level gross margin | Compare billed revenue with carrier invoices, agency commissions, storage and surcharges on the same shipment or job number. |
| Accrued freight and unbilled jobs | Identify transport performed but not yet invoiced, carrier invoices received late, and period-end cut-off errors. |
| Multicurrency bank and AR/AP reconciliations | Reconcile EUR, GBP, USD and TRY balances, aged customer receivables and amounts due to international agents. |
| VAT coding and supporting documents | Document basis for exempt and taxable transactions and link transport evidence to invoices. |
| Related-party ledger | Reconcile balances and management/agency charges between Turkish operations and UK headquarters. |
| HQ management pack | Provide a local statutory trial balance mapped to agreed group reporting codes, with close commentary and FX bridge. |

5. How to budget a 2027 Turkish logistics operation
Separate legal incorporation, sector authorisation and monthly finance outsourcing. Share capital is not the same as an operating expense or an authorisation fee. A realistic budget considers both cash funding and the run-rate P&L:
- Company or branch set-up, parent-company documentation, certified translations, registration and banking.
- Activity-specific permit review, authorisation charges and professional compliance support if regulated services are planned.
- Office/warehouse costs, employee payroll, employer SGK, benefits, software, freight-management and invoice integrations.
- Monthly statutory bookkeeping, VAT/withholding/corporate-tax compliance, e-Fatura/e-Defter and bank reconciliations.
- Shipment profitability reports, group financial reporting, transfer-pricing documentation and annual close/audit support, where required.
- Insurance, legal services and customs specialists, under separate provider engagements.
Use the 2027 CFO subsidiary budget guide and estimator and the 2027 payroll budget planner to put these categories into your headquarters budget. Our in-house vs outsourced finance cost comparison explains why a headline bookkeeping quote cannot be compared to end-to-end reporting without normalising scope.

- Monthly payroll headcount, gross/net contractual basis, planned hires and foreign employees.
- Required UK head-office reporting format, GAAP/IFRS adjustments and close deadline.
- ERP/TMS software, invoicing integration and supporting shipment documentation.
- Intended start date and whether there is an incumbent CPA or existing Turkish entity to take over.
Frequently asked questions
Can a UK-owned company register a Turkish subsidiary?
In general, Türkiye’s foreign-investment framework allows foreign ownership and equal treatment, subject to the rules applying to the proposed activity. Corporate registration is separate from activity-specific regulatory authorisation.
Does every logistics company need a TİO authorisation?
Not necessarily. Determine whether the actual services fall within the regulated transportation-organiser scope. The sector authorisation analysis must precede the operating decision.
Can a Turkish CPA also act as a licensed customs broker?
Accounting/tax representation and customs brokerage are distinct professional and regulatory roles. A CPA engagement should not be represented as substituting for a customs broker’s authorisation.
Are all international freight invoices VAT-free?
No automatic blanket rule applies. Review the actual carriage route, type of service, contracting principal and evidence against the statutory VAT exemption conditions.
What changes for a 2027 UK group reporting budget?
Plan for multicurrency transaction reconciliation, shipment-level margins, cross-border related-party accounting, e-invoicing, month-end accruals and any requested group GAAP bridge, in addition to local compliance.
